William P. Higgins, Jr. has extensive experience in:


o       All aspects of real estate law and has represented clients in connection with the purchase, sale and refinance of hundreds of millions of dollars worth of real estate throughout the country.

o       Commercial litigation, foreclosures, and workouts and has represented of some of largest banks and insurance companies in the Country.

o       The sale, purchase, and disposition of sub-performing, and non-performing loans and has assisted clients in selling, acquiring and/or disposing of hundreds of millions of dollars of loans.

o       Representing commercial lenders and borrowers and has closed numerous multi-million dollar loans.

o       All aspects of contract law including real estate leasing, commercial contracts, and corporate governance documents.

o       The sale and purchase of a wide variety of businesses.

In his prior career at McCarter & English, New Jersey’s largest law firm, Mr. Higgins focused primarily on commercial litigation, foreclosures and workouts following the savings and loan crisis of the late '80s and early '90s.  That experience provided exceptional training in real estate, title, and commercial litigation issues.  After opening McCarter & Higgins in 1996, he was able to leverage his experience to develop a niche practice area focused on the purchase and disposition of sub-performing and non-performing loans, in addition to a more general practice of law.  As the economy recovered from the S&L crisis, his practice shifted to focus on other aspects of real estate law including real estate purchases, sales, financing and leasing.  Having experience in asset recovery, collection, loss mitigation, and bankruptcy work during an economic down cycle was invaluable in directing his focus to the essential legal issues in all these areas.   This knowledge and experience led his practice have a disproportionate number, for a firm of its size, of large or complicated commercial transactions.  As our economy again enters a difficult financial period, his practice has experienced an increased focus on commercial litigation, foreclosures and workouts.


Representative Matters

  • Represented the purchaser of a fifteen million dollar non-performing loan secured by a multi-family residential apartment complex in New Jersey and assisted the client in achieving its goal of acquiring title to the property.
  • Represented the purchaser in the acquisition of large multi-family apartment complex in Pennsylvania through the assignment of a successful bid in a HUD foreclosure action, and in connection with the subsequent thirteen million dollar refinance of the acquired property.
  • Represented the purchaser of a sub-performing New Jersey commercial mortgage loan in excess of three million dollars.  Represented the purchaser of this loan, as the lender, in connection with a number of restructures of the purchased loan, and in connection with the ultimate satisfaction of the loan by the borrower.
  • Structured and prepared corporate governance documents for the purchaser / borrower in connection with its acquisition of real estate in Mississippi for tens of millions of dollars.
  • Represented purchaser of a non-performing loan in excess of one million dollars and successfully prosecuted the foreclosure action to completion.
  • Represented the purchaser of large multi-family property in Maryland, and in connection with a subsequent twenty one million dollar refinance of the property.
  • Represented the purchaser of a pool of sub-performing and non-performing New Jersey commercial mortgage loans in connection with the purchase, and ultimate disposition, of the various loans.
  • Represented the purchaser of a distressed 180,000 square foot commercial office building including the preparation of the buyer’s organizational documents, the acquisition of title, the assumption, and then refinance, of the debt on the property, the preparation of numerous commercial leases for the property, and the eventual sale of the asset.
1990-1996 Associate, McCarter & English, Newark, New Jersey.
While at McCarter & English, Mr. Higgins represented some of the largest banks and insurance companies in the nation.  He prosecuted commercial litigation and foreclosure actions on their behalf.  He represented them in connection with loan restructures, loan sales and real estate sales. He represented them as secured creditors in bankruptcy.  He represented clients in general business litigation and disability insurance defense litigation.
